About ELCOM

Elcom International, Inc. develops world class online managed services for eProcurement and eMarketplaces that enable buyers and sellers to transact seamlessly over the internet and create additional sources of revenue and increase market share for partners.

Its core products and services include application software designed to automate the entire procurement process from sourcing to spend analysis, hosting and application management services including all hardware and software required to operate an eProcurement and eMarketplace system and ongoing support to manage catalogues and designated end users.

Elcom, a US corporation, is headquartered outside of Boston, in Norwood, Massachusetts. It’s main country of operation is the US, however it also provides additional support to it’s UK customer base through home based employees. Elcom International, Inc.’s stock trades on the Pink Sheets in the United States under the symbol ELCO.

Board of Directors

William Lock, Chairman

Bill Lock was named Chairman of the Board in August 2007. He has served as a director since September 2006. He is a seasoned turnaround specialist with considerable experience in mergers, acquisitions, corporate finance, strategic planning and advisory. Prior to joining the company Bill ran a UK based consultancy practice, in which he retains an interest, which specialises in the above disciplines. He has a strong track record of delivering growth, leading to the creation and or improved shareholder value and when appropriate successful shareholder exits in a number of sectors. Bill started his career working for C.E.S.P., an investment firm based in New York, which specialised in investment management and turnarounds

Justin Dignam, Non-Executive Director

Mr. Dignam was appointed Class I Director of Elcom International on 21st April 2006 at the request of SWIM Entities. Mr. Dignam is a Director and Chief Executive Officer of Big Fish Payroll Services LLC, a provider of payroll and tax depositing and filing services for small and mid-market employers. As a former Sales Executive at Kronos Incorporated, Mr. Dignam led their major markets sales organisation in Southern California. Mr. Dignam has also held a variety of senior level sales positions at Automatic Data Processing Inc. (“ADP”), including National Accounts Sales Executive and Global Sales Manager for Fortune 100 and multinational companies. Mr. Dignam is a citizen of the United States.

Mr. Dignam also serves as the Chairman of the Compensation Committee, Nominating Committee and Audit Committee of Elcom International, Inc.

Elliott Bance, Non-Executive Director

Mr. Bance was appointed Class III Director of Elcom International on 21st April 2006 at the request of SWIM Entities. Mr. Bance has many years experience in real estate sales and development. Currently Mr. Bance is a director of Asprey Homes Limited.

Mr. Bance also serves as a member of the Compensation Committee, Nominating Committee and Audit Committee of Elcom International, Inc.

Gregory D. King, Chief Executive Officer

Mr. King was appointed as the CEO on the 15th August 2007. He was appointed Class II Director of the Company on the 6th August 2006 and on the same date was appointed Executive Vice-President of Business Development. Mr. King is responsible for developing Elcom’s global marketing strategy and product development liaison between partners and their end user trading communities. Mr. King has over twenty-five years executive level experience directing and managing a variety of business functions, products, marketing and sales. Mr. King joined Elcom in 1997. As co-founder and former President of Client/Server Software, Inc., Mr. King was responsible for their system integration and product development businesses. During his tenure, Mr. King designed, developed and deployed a client/server based document image management system for the Suffolk County Registry of Deeds and City of Boston Assessing Department; and the world’s first enterprise wide eProcurement system at Harvard University. Mr. King has also held several executive management positions at Gillette, Universal Software Associates and Task Oriented Software, Inc. Mr. King received his BA from Boston University.

David Elliott, Finance Director

David Elliott has built his career in financial management, corporate finance and strategy and has been involved in a number of mergers, acquisitions and turnaround situations. He was appointed Finance Director in February 2007. Prior to joining the company he spent 5 years at Volkswagen Group where he was employed in a number of senior financial roles, including responsibility for the Volkswagen Development Ventures Fund. Prior to this David was employed as a financial analyst with Daimler Chrysler UK.

Corporate Governance

Elcom is dedicated to the implementation and preservation of sound corporate governance principles. At the heart of corporate governance is the role that the Board of Directors plays in overseeing the accuracy and timeliness of financial reporting and the effectiveness of management in servicing the long-term interests of our stockholders. At the same time, we are committed internally to the diligent and rigorous oversight of our responsibilities to manage the operation of our company in a manner that employs best business practices consistent with the highest principles of corporate ethics. The steps we have taken to fulfil this commitment include:

  • Formal adoption by the Board of a set of clear and concise governance policies
  • Separation of Chairman and Chief Executive roles
  • Establishing Board committees – the Audit Committee, the Remuneration Committee and the Nomination and Governance Committee – the members of which are all independent, non-executive Directors
  • The establishment of detailed Terms of Reference that clearly define the roles and responsibilities of each respective Board committee and its members
